Job Overview:
A prominent law firm is seeking talented M&A / Private Equity Associate Attorney with 4-7 years of experience to join its Mergers & Acquisitions (M&A) / Private Equity team. This position is available in both New York and Washington, D.C. The ideal candidate will bring strong experience in M&A or private equity transactions and must submit a deal sheet as part of the application process.

Location:

  • Washington, D.C.

Duties:

  • Work on complex M&A and private equity transactions for a range of clients.
  • Provide legal guidance on acquisitions, mergers, divestitures, joint ventures, and other corporate matters.
  • Draft, review, and negotiate transaction documents, including purchase agreements, term sheets, and other contracts.
  • Collaborate with partners and other team members to manage all aspects of deal execution.
  • Conduct due diligence, research, and analysis to support client transactions.
  • Advise clients on corporate governance, regulatory compliance, and legal risks related to transactions.

Requirements:

  • Should have 4-7 years of experience.
  • Strong background in M&A or private equity transactions.
  • Proven ability to manage multiple complex transactions simultaneously.
  • Exceptional analytical, negotiation, and drafting skills.
  • High level of attention to detail and excellent organizational skills.
  • Strong ability to work collaboratively within a team and effectively communicate with clients and colleagues.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to the New York State Bar or Washington, D.C. Bar (depending on location).

Skills:

  • Strong legal research and writing skills.
  • Excellent verbal and written communication abilities.
  • Strong negotiation and transaction management skills.
  • Ability to handle a fast-paced environment and work under pressure.
  • Client-focused approach with a high level of professionalism.
