Job Overview: A prestigious law firm is seeking a highly skilled and motivated Commercial Mortgage-Backed Securities (CMBS) Associate to join their Global Finance group. The successful candidate will have the opportunity to represent issuers, underwriters, servicers, and investors in the commercial real estate (CRE) securitization and CMBS marketplace. Location: New York, NY

Duties:

  • Draft and negotiate bid letters, confidentiality agreements, and securitization disclosure and operative documents.
  • Prepare pooling and servicing agreements, mortgage loan purchase agreements, and investor certifications.
  • Handle commercial real estate repurchase facilities and warehouse lending matters.
  • Play an active role as a key member of deal teams, managing key aspects of transactions from due diligence through closing.
  • Advise clients on complex CMBS and CRE transactions and provide guidance on securitization matters.

Requirements:

  • 3-6 years of experience in securitization, particularly in the CMBS and CRE sectors.
  • Strong experience in drafting and negotiating key securitization documents.
  • Proven ability to manage multiple aspects of complex transactions from inception to closing.
  • Previous experience at a large law firm is strongly preferred.
  • Ability to work effectively in a team-oriented and fast-paced environment.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active license to practice law in the relevant jurisdiction (New York preferred).

Skills:

  • Expertise in commercial mortgage-backed securities and CRE securitization.
  • Strong drafting, negotiation, and legal research skills.
  • Ability to manage complex transactions and client relationships.
  • Excellent communication and organizational skills.
