Duties

• Advise business clients on mergers, acquisitions, and corporate restructuring

• Conduct legal due diligence for transactional matters

• Draft and negotiate transactional documents such as purchase agreements and shareholder agreements

• Collaborate with internal and external stakeholders, including finance, tax, and regulatory teams

• Provide strategic legal counsel to support client business goals

• Support private equity and corporate governance matters as needed

Requirements

• 3 to 7 years of legal experience with a focus on mergers & acquisitions or corporate law

• Demonstrated ability to manage transactions and deadlines effectively

• Strong understanding of business operations and transactional structure

• Proactive and entrepreneurial approach to client service

Education

• Juris Doctor (J.D.) from an accredited law school

Certifications

• Admitted to the New York State Bar and in good standing
