Job Title: Mid-Level Or Senior ERISA Associate Attorney

Job Overview:
A respected law firm based in Santa Monica, CA, is partnering with a recruitment agency to onboard an experienced associate with a focus on executive compensation, employee benefit plans, and related tax and securities matters. The role is designed for a legal professional eager to work collaboratively across transactions while also owning discrete elements of client engagements. This position offers the opportunity to contribute to a specialized team that advises on incentive arrangements for both private and public entities.

Duties:

  • Advise clients on tax and securities implications related to equity-based compensation structures and incentive plans

  • Provide legal guidance on executive compensation issues during M&A, IPO, and other corporate transactions

  • Draft and review plan documents, board materials, and employee communications

  • Address legal aspects of ERISA-governed benefit plans as applicable

  • Conduct research and prepare legal memoranda on complex compensation issues

  • Collaborate closely with other practice groups to support integrated legal solutions

  • Participate in client meetings and contribute to relationship management efforts

Requirements:

  • 3 to 5 years of post-qualification legal experience, preferably in a law firm setting

  • Demonstrated experience advising corporate clients on compensation and benefits matters

  • Proven ability to handle aspects of transactions independently and contribute meaningfully to team-based projects

  • Strong legal research, analytical, and drafting skills

  • Effective verbal communication and client interaction capabilities

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Admission to at least one U.S. State Bar (California preferred)

Skills:

  • Deep understanding of relevant sections of the Internal Revenue Code and securities regulations

  • Familiarity with ERISA and related compliance issues

  • Ability to navigate complex transactions under tight deadlines

  • Clear, concise, and persuasive writing and speaking style

  • High attention to detail and organizational efficiency
