Duties

• Advise clients on federal, state, and international tax matters

• Provide support in mergers and acquisitions, capital markets, and corporate finance transactions

• Structure equity financings, licensing agreements, and technology transfers

• Assist with domestic and cross-border tax planning strategies

• Draft and review tax-related sections of legal documents and agreements

• Collaborate with attorneys across corporate, intellectual property, and regulatory practices

• Support clients in the technology and life sciences industries throughout various stages of business growth

Requirements

• Minimum of 5 years of experience practicing tax law

• Substantial background in M&A, capital markets, and corporate finance

• Experience with complex licensing and collaboration arrangements preferred

• Familiarity with domestic and international tax planning

• Demonstrated ability to manage multiple complex matters in a fast-paced setting

Education

• Juris Doctor (JD) from an accredited law school

• LLM in Taxation is a plus but not required

Certifications

• Active license to practice law in the relevant jurisdiction or ability to gain admission
