Job Overview:
A well-established, multi-office law firm is currently seeking a Corporate Associate to join its Private Equity & Finance practice. The ideal candidate will have 3–5 years of relevant experience in investment management, private fund formation, and corporate transactions. This role offers the opportunity to engage with a diverse client base, including institutional investors and family offices, and contribute to complex legal matters such as joint ventures, M&A, and regulatory compliance. Location:

  • Parsippany, NJ

Duties:

  • Advise clients on private fund formation and investment management regulatory issues

  • Draft and negotiate fund-related documentation, including:

    • Private placement memoranda (PPMs)

    • Limited partnership agreements

    • LLC operating agreements

    • Subscription agreements

    • Side letters

  • Prepare and review investment and sub-advisory agreements

  • Provide legal guidance on marketing materials and compliance obligations for investment managers

  • Assist in structuring and documenting private equity, venture capital financings, and joint ventures

  • Support mergers and acquisitions and handle general corporate matters

  • Collaborate with other legal teams to deliver comprehensive client solutions

Requirements:

  • 3–5 years of experience in investment management and private fund formation

  • Proven ability to handle sophisticated transactional and regulatory matters

  • High level of technical and client service acumen

  • Excellent written and verbal communication skills

  • Collaborative, team-oriented mindset with strong problem-solving skills

  • Ability to work independently and proactively in a fast-paced environment

  • Active bar membership in good standing in the jurisdiction of intended practice

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Licensed to practice law; Bar admission in good standing required for intended office location

Skills:

  • Strong drafting and negotiation capabilities

  • Deep knowledge of fund formation structures and investment regulations

  • Familiarity with advising institutional investors and family offices

  • Ability to develop creative legal solutions tailored to client needs

  • Detail-oriented with exceptional organizational skills
