Job Overview:
A Chattanooga-based law firm is actively seeking a mid-level or senior associate with a strong foundation in complex business transactions. The position is best suited for individuals who bring hands-on experience in corporate matters, particularly those involving mergers and acquisitions. This opportunity is presented through a legal recruiting firm on behalf of the hiring law firm.

Duties:

  • Advise clients on a range of corporate matters, with emphasis on M&A transactions

  • Draft and review key transactional documents, including purchase agreements, disclosure schedules, and governance documents

  • Collaborate with cross-functional legal teams on due diligence, deal structure, and negotiations

  • Interpret and apply corporate governance laws and regulations to client scenarios

  • Support business clients in strategic planning and corporate compliance matters

  • Participate in the management and execution of private equity, joint ventures, and restructuring matters

Requirements:

  • Minimum of 3 years of post-J.D. legal experience handling sophisticated corporate matters

  • Demonstrated involvement in mergers and acquisitions transactions, preferably as a core team member

  • Strong command of corporate structures, governance, and regulatory considerations

  • Capacity to manage workload independently while contributing to collaborative teams

Education:

  • Juris Doctor (J.D.) degree from an accredited law school

  • Strong academic record, preferably from a highly ranked institution

Certifications:

  • Active bar membership in at least one U.S. jurisdiction

  • Willingness to become licensed in Tennessee, if not already admitted

Skills:

  • Exceptional legal research, drafting, and negotiation skills

  • Ability to communicate effectively with internal and external stakeholders
