A law firm in Richmond is seeking a Leveraged and Acquisition Finance Associate Attorney. The ideal candidate should have experience in financing and investment transactions, including acquisition finance and private equity-backed transactions.

 

Job Overview:

The Leveraged and Acquisition Finance Associate Attorney will handle a wide range of financing and investment transactions, including acquisition finance and private equity-backed transactions. They will work as part of a dynamic transactional team representing lenders, borrowers, and sponsors.

 

Duties:

  • Handle financing and investment transactions, including acquisition finance and private equity-backed transactions.
  • Represent borrowers, banks, and private credit lenders in commercial senior secured financings and mezzanine debt issuances.
  • Counsel clients on credit agreements, security agreements, guaranty agreements, distressed credit situations, and UCC Article 9 matters.
  • Work collaboratively as a member of a transactional team.
  • Conduct legal research and writing.
  • Draft legal documents, including credit agreements and security agreements.

 

Requirements:

  • 2-4 years of experience in leveraged and acquisition finance transactions.
  • Experience in general corporate law is a plus.
  • Excellent academic credentials and strong writing/drafting skills.
  • Licensed or eligible to be licensed to practice in Virginia.

 

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Virginia Bar or eligibility for admission.

 

Skills:

  • Experience in leveraged and acquisition finance transactions.
  • Strong understanding of financing and investment principles.
  • Excellent legal research and writing abilities.
