A law firm in Houston, TX, is seeking an Income Tax Associate Attorney with a minimum of 3 years of experience at an Am Law 100 or Am Law 200 firm. The ideal candidate should have extensive experience working on corporate and partnership M&A transactions, with a focus on drafting and negotiating tax provisions in transaction documents. The role also involves researching, analyzing, and resolving tax issues under Subchapter C of the Internal Revenue Code that are related to M&A transactions. Additionally, the ideal candidate will possess experience in the formation of joint ventures, drafting and negotiating partnership and LLC agreements, and resolving tax issues under Subchapter K of the Code. Experience in the private equity sector is highly desirable.

Duties:

  • Manage corporate and partnership M&A transactions.
  • Draft and negotiate tax provisions in transaction documents.
  • Conduct research and analysis to resolve tax issues under Subchapter C of the Internal Revenue Code.
  • Participate in the formation of joint ventures.
  • Draft and negotiate partnership and LLC agreements.
  • Research and resolve tax issues under Subchapter K of the Code.
  • Apply expertise to transactions in the private equity space.

Requirements:

  • Minimum of 3 years of experience at an Am Law 100 or Am Law 200 firm.
  • Extensive experience in corporate and partnership M&A transactions.
  • Proficiency in drafting and negotiating tax provisions in transaction documents.
  • In-depth knowledge of tax issues under Subchapter C of the Internal Revenue Code.
  • Experience in the formation of joint ventures.
  • Proficiency in drafting and negotiating partnership and LLC agreements.
  • Strong understanding of tax issues under Subchapter K of the Code.
  • Experience in the private equity sector (preferred).

Education:

  • Juris Doctorate (JD) from an accredited law school.

Certifications:

  • Bar admission in the state of practice.

Skills:

  • Tax analysis and resolution.
