A law firm in San Rafael is seeking a Business and Real Estate Transactional Attorney with a minimum of 2 years of experience. The ideal candidate will handle a range of business law matters, including entity formation, commercial contracts, mergers and acquisitions, and commercial real estate transactions. The role involves meeting with clients, drafting legal documents, and collaborating with an attorney team.

 

Job Details:

  • Meet with prospective and existing clients for Zoom and in-person consultations on business law matters.
  • Draft and review operating agreements, bylaws, shareholders’ agreements, master service and service level agreements, private placement memorandums, indemnity agreements, and other client contracts.
  • Draft leases, purchase and sale agreements, letters of intent, deeds, etc., for commercial real estate transactions.
  • Prepare, manage, and review mergers and acquisitions transactions, including due diligence and closing documents.
  • Review, manage, and prepare commercial lease agreements.
  • Organize and maintain case and client files.
  • Follow company guidelines for engagement, including completion of Client Intake Form and task management.
  • Conduct client meetings, answer questions, and address concerns.
  • Respond to client phone calls or emails and keep detailed notes of all interactions.
  • Attend weekly Attorney Meeting and Advanced Planning Meeting, bi-weekly Business Planning Department Meeting, and monthly all-staff meeting.
  • Previous experience required, and knowledge of estate planning is preferred.

 

Requirements:

  • 2+ years of job experience as an attorney with business transactional experience.
  • Licensed attorney by California State Bar.
  • Additional ongoing courses and continuing education programs in the area of Business Law.
