Job Title: ECVC Attorney - Income Principal

Job Overview:

A distinguished law firm located in Portland, OR, is seeking a seasoned Principal Attorney to join its thriving Business Practice Group. This role offers the opportunity to work with a diverse portfolio of early-stage and emerging companies, providing comprehensive legal counsel across various corporate transactions. The ideal candidate will possess a deep understanding of equity and debt financing, corporate governance, and mergers and acquisitions, with the added benefit of a supportive, bi-coastal platform to expand clientele and professional growth.

Duties:

  • Serve as a trusted legal advisor for early-stage companies and emerging brands, providing day-to-day corporate governance counseling.

  • Structure and lead private capital raising transactions, including private offerings, venture capital investments, debt financing, and syndicate financing.

  • Represent clients in a broad range of sophisticated business transactions across multiple industry sectors.

  • Collaborate regularly with talented attorneys across multiple offices to deliver strategic client solutions.

  • Support business growth efforts by leveraging a partial portable book of business.

  • Provide legal guidance on public company matters, capital markets transactions, and mergers and acquisitions, when applicable.

  • Participate in firm initiatives promoting diversity, pro bono engagement, and community service.

Requirements:

  • Minimum of 7 years' experience advising early-stage businesses, particularly in capital raise transactions.

  • Demonstrated ability to manage multiple projects and clients simultaneously with high attention to detail.

  • Strong record of developing and maintaining client relationships.

  • Enthusiastic about contributing to a collaborative and inclusive work environment.

  • Excellent written and verbal communication skills.

  • Commitment to providing exceptional, client-focused legal services.

  • Ability to work both independently and as part of a multidisciplinary team.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

  • Active license to practice law in good standing within at least one U.S. jurisdiction.

  • Ability to become licensed in Oregon, if not already admitted.

Skills:

  • Expertise in corporate governance, private equity transactions, and venture capital financing.

  • Familiarity with public company compliance, securities law, and M&A transactions preferred.

  • Strong analytical, drafting, and problem-solving skills.

  • Outstanding organizational capabilities and a commitment to professional excellence.

  • Client development and relationship-building acumen.
