Associate Attorney needed for Sacramento office

Job Overview: A law firm in Sacramento, CA, is seeking an Associate Attorney with 3-5 years of relevant law firm experience in Corporate Law. The ideal candidate should have expertise in private offerings, general venture capital and tech company corporate transactions, public company representation, and public offerings. Membership to the CA State Bar is required.

Job Duties:

• Conduct legal research and analysis on various corporate law matters.
• Draft and review legal documents, including contracts, agreements, and corporate governance documents.
• Assist with corporate transactions, including mergers and acquisitions private and public offerings.
• Provide legal counsel to clients on corporate governance matters and regulatory compliance.
• Collaborate with senior attorneys and partners on complex legal matters and transactions.
• Represent clients in negotiations, mediation, and other legal proceedings.
• Maintain accurate and organized legal files and documentation.
• Stay updated on changes in corporate laws and regulations.

Requirements:

• 3-5 years of relevant law firm experience with private offerings, general venture capital and tech company corporate transactions, public company representation, and public offerings.
• Membership to the CA State Bar.
• Highly motivated with excellent academic credentials.

Education and Certifications:

Salaries are in line with other top Bay Area firms, and the firm provides a $10,000 bonus for all lawyers who bill at least 1,950 hours, with additional money based on three separate billable hour levels above 1,950.
