Job Overview

A leading law firm is seeking an experienced securities attorney to join its Investment Funds Group. This role involves managing structured securities offerings and handling various real estate transactions, including finance, acquisitions, and dispositions. The ideal candidate will represent public and private real estate companies, REITs, institutional investors, and financial entities in transactions such as acquisitions, restructurings, financings, and real estate development. Strong analytical skills, business judgment, and the ability to work both collaboratively and independently are essential for this position.

Duties

  • Manage structured securities offerings, with a primary focus on real estate finance, acquisitions, and dispositions.
  • Represent clients in transactions involving acquisitions, restructurings, financings, and real estate development.
  • Draft, review, and negotiate legal documents related to securities and real estate matters.
  • Advise clients on compliance with federal and state securities regulations.
  • Develop and implement legal strategies for real estate investments and securities transactions.
  • Collaborate with internal legal teams and business professionals to structure deals.
  • Build and maintain strong professional relationships with clients and industry stakeholders.
  • Effectively communicate with clients, legal teams, and third parties, both verbally and in writing.
  • Ensure the timely delivery of high-quality work product and meet project deadlines.

Requirements

  • Minimum of six years of experience managing structured securities offerings.
  • Experience in an AmLaw 100 law firm is preferred.
  • Strong understanding of securities regulations and real estate finance transactions.
  • Ability to independently manage complex legal transactions.
  • Capacity to work under pressure and manage multiple priorities in a fast-paced environment.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Licensed to practice law in the applicable jurisdiction.

Skills

  • Strong legal research, analytical, and writing abilities.
  • Attention to detail and sound business judgment.
  • Excellent communication, negotiation, and drafting skills.
