Junior Corporate M&A Associate Attorney

A law firm in New York City is seeking a Junior Corporate M&A Associate Attorney to be involved in all aspects of M&A deals. The candidate will gain valuable experience in drafting, negotiating, due diligence coordination, and closing processes. Strong U.S. law firm experience and outstanding academic credentials are required. Fluency in written and verbal Spanish is considered advantageous.

Duties:

• Participate in all phases of M&A transactions, including drafting and negotiating transaction documents.
• Coordinate due diligence efforts and manage the due diligence process.
• Assist in the closing process and ensure all legal requirements are met.
• Conduct legal research and provide analysis on corporate and M&A matters.
• Communicate with clients, opposing counsel, and internal stakeholders.
• Prepare and review corporate documents, including entity formation and governance documents.
• Collaborate with senior attorneys to develop and execute transaction strategies.

Requirements:

• 1-2 years of experience in a corporate law practice.
• Strong U.S. law firm experience.
• Outstanding academic credentials.

Education and Certifications:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the State Bar of New York or eligibility for admission.
