A law firm in New York City is seeking a qualified Mid-Level Corporate M&A Associate Attorney with a proven track record in handling M&A transactions, particularly with public companies. The ideal candidate should possess strong corporate law knowledge, effective deal management skills, and a business development-oriented mindset. The role requires the ability to take on a high level of responsibility and work autonomously. U.S. law firm experience and outstanding academic credentials are prerequisites and proficiency in written and verbal Spanish is considered a plus.

 

Duties:

  • Led and managed M&A transactions, demonstrating expertise in dealing with public companies.
  • Draft and negotiate transaction documents, including merger agreements, stock purchase agreements, and asset purchase agreements.
  • Conduct due diligence and assess legal and financial risks associated with transactions.
  • Collaborate with cross-functional teams, including finance, tax, and regulatory specialists.
  • Provide legal counsel on corporate governance matters and compliance issues.
  • Cultivate and maintain client relationships through effective communication and service delivery.

 

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • 4-6 years of experience in mergers and acquisitions.
  • Significant experience dealing with public companies.
  • In-depth understanding of corporate law and market terms.
  • Business development-oriented mindset.
  • Ability to manage and execute complex M&A transactions independently.
  • Outstanding academic credentials.
  • U.S. law firm experience.

 

Certifications:

Admitted to the Bar in the state of New York.
