A law firm seeks an experienced corporate attorney to join its transactional corporate law practice in downtown Phoenix. The ideal candidate will have a demonstrated ability to attract and retain business, focusing on handling various corporate matters such as entity formation, mergers and acquisitions, securities law, and corporate governance. The role requires a proactive, independent attorney with a solid work ethic and comfortable managing various legal responsibilities.

Duties:

  • Advise clients on matters related to corporate transactions, including mergers and acquisitions, private equity, and venture capital investments.
  • Handle entity formation and business structuring, ensuring compliance with relevant laws and regulations.
  • Provide counsel on corporate governance and best practices for business organizations.
  • Assist clients in navigating securities laws and regulatory compliance.
  • Draft, review, and negotiate various business agreements, including partnership, shareholder, and purchase agreements.
  • Work closely with clients to identify risks, provide strategic legal advice, and develop solutions for complex business transactions.
  • Collaborate with other legal professionals to support client objectives and ensure successful outcomes.

Requirements:

  • Significant experience in corporate law, including mergers and acquisitions, securities law, private equity, and corporate governance.
  • Proven ability to independently manage a diverse range of transactional legal matters.
  • Strong business development skills with a track record of attracting and retaining clients.
  • Ability to work efficiently under pressure and handle multiple projects simultaneously.
  • Excellent communication and negotiation skills, both written and verbal.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed to practice law in Arizona, in good standing.

Skills:

  • Strong legal research, analytical, and problem-solving abilities.
  • Expertise in corporate transactions and business organization matters.
  • Ability to effectively manage client relationships and provide tailored legal advice.
  • Proficiency in drafting and reviewing complex legal documents.
