Business and Corporate Associate Attorney

A law firm in Walnut Creek, CA, is seeking a Business and Corporate Associate Attorney with 4+ years of experience, focusing on corporate, business, and commercial transactional matters. The attorney will work directly with senior partners to manage a diverse portfolio of transactional work and is expected to demonstrate aptitude for business development. The ideal candidate should possess a strong understanding of general corporate and commercial law, extensive experience in sophisticated M&A and other business transactions for private companies, and a dedication to providing exceptional client service and satisfaction. Experience with non-profit law, non-profit formations, and franchise law is considered advantageous.

Duties:

• Provide legal counsel and representation to clients in corporate, business, and commercial transactional matters.
• Collaborate with senior partners to oversee a wide-ranging book of transactional work.
• Draft, review, and negotiate various legal documents, contracts, and agreements.
• Participate in due diligence, negotiations, and closures of complex M&A and other business transactions for private companies.
• Contribute to business development efforts aimed at expanding the firm's client base.
• Maintain a strong commitment to delivering outstanding client service and satisfaction.

Requirements:

• 4+ years of experience in corporate, business, and commercial transactional matters.
• Comprehensive understanding of general corporate and commercial law.
• Substantial experience in managing sophisticated M&A and other business transactions for private companies.
• Demonstrated aptitude for business development.
• Familiarity with non-profit law and non-profit formations (preferred).
• Knowledge of franchise law (preferred).

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Active membership in the Bar in the relevant jurisdiction.
