Job Overview:

Duties:

  • Prepare and review filings for the Securities and Exchange Commission (SEC), FINRA, NYSE, Nasdaq, and OTC Markets Group.

  • Advise corporate clients on securities law compliance and disclosure obligations.

  • Draft, edit, and submit required regulatory documentation for public offerings, private placements, and other securities transactions.

  • Collaborate with corporate teams to ensure compliance with evolving securities regulations.

  • Research and interpret complex securities regulations and guidance.

  • Support mergers, acquisitions, and other corporate transactions from a securities compliance perspective.

  • Maintain active communication with clients, regulators, and internal stakeholders.

  • Participate in strategic planning related to public company governance and securities compliance.

Requirements:

  • 5-12 years of demonstrated experience in securities law and regulatory compliance.

  • Strong proficiency in preparing and submitting filings with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group.

  • Exceptional attention to detail, organizational abilities, and analytical skills.

  • Excellent verbal and written communication skills.

  • Ability to work independently while also contributing to collaborative team efforts.

  • Strong professional judgment and problem-solving aptitude.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to the Colorado State Bar or eligibility for admission without examination.
