A law firm in Palo Alto, CA, is seeking a skilled and experienced Technology and IP Transactional Associate Attorney with 3-6 years of expertise. The ideal candidate will have a strong background in life sciences transactions and broader technology and intellectual property transactions within the realms of mergers and acquisitions and other corporate transactions. The candidate should also possess experience in negotiating strategic commercial agreements, including collaboration, license, outsourcing, and joint venture agreements. Exceptional credentials and qualifications related to the pharmaceutical and life sciences industry are highly preferred.

Duties:

  • Conduct legal research and analysis related to technology, intellectual property, and life sciences transactions.
  • Draft and review contracts and agreements, including mergers and acquisitions documents, collaboration agreements, license agreements, outsourcing agreements, and joint venture agreements.
  • Provide legal counsel and strategic advice to clients on transactional matters, ensuring compliance with relevant laws and regulations.
  • Participate in due diligence processes for corporate transactions, with a focus on identifying and assessing intellectual property and technology-related issues.
  • Collaborate with clients and internal teams to understand business objectives and facilitate successful transaction outcomes.

Requirements:

  • 3-6 years of experience as a Technology and IP Transactional Attorney.
  • Proven experience in life sciences transactions and broader technology and intellectual property transactions.
  • Strong understanding of mergers and acquisitions processes and documentation.
  • Excellent legal research and analytical skills.
  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the California State Bar.

Skills:

  • Exceptional negotiation and drafting skills.
  • In-depth knowledge of intellectual property law and technology transactions.
  • Strong communication and interpersonal skills.
  • Ability to work independently and collaboratively in a fast-paced legal environment.
