Job Overview:

Location:

Duties:

  • Provide legal counsel and support for complex M&A transactions, including structuring, drafting, and negotiating agreements.
  • Advise clients on strategic corporate matters, including corporate governance, due diligence, and regulatory compliance.
  • Draft and review legal documents such as acquisition agreements, financing agreements, and corporate filings.
  • Collaborate with clients, senior attorneys, and external advisors to ensure successful and timely execution of transactions.
  • Manage client relationships and communicate effectively with clients, stakeholders, and team members.
  • Conduct legal research and analysis on M&A-related matters, providing actionable insights and recommendations.
  • Participate in strategic planning sessions and contribute to business development efforts.

Requirements:

  • 3-5 years of M&A experience at a leading corporate law firm or in-house legal department.
  • Active member of the bar in the jurisdiction where the candidate will work, or eligible to sit/waive into the next bar exam.
  • Proven experience in handling complex M&A transactions, with a focus on due diligence, negotiation, and deal structuring.
  • Strong academic credentials from a top-tier law school.
  • Excellent written, oral, and interpersonal communication skills.
  • Experience with or an interest in working with technology and life sciences companies is preferred.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Strong attention to detail and problem-solving skills.

Education:

  • J.D. from an accredited law school.

Certifications:

  • Active bar membership in the jurisdiction where the candidate will work, or eligibility to sit/waive into the next bar exam.

Skills:

  • Expertise in mergers and acquisitions, corporate law, and corporate governance.
  • Proficiency in drafting and negotiating complex M&A agreements.
