A law firm seeks a highly experienced Mergers & Acquisitions (M&A) Resource Attorney to join its team in Boston. This unique position is ideal for an attorney with a background in corporate M&A who is interested in supporting the firm’s M&A practice group by enhancing efficiency, knowledge-sharing, and overall legal operations. The M&A Resource Attorney will focus on transaction database management, document drafting and management, legal updates, training, and assisting with business development initiatives, all while collaborating closely with the firm’s attorneys and support teams.

Duties

  • Transaction Database Management

    • Input and update deal terms into the firm’s M&A transaction database.
    • Coordinate with the knowledge management team to audit and maintain the database to ensure accuracy and relevance.
  • Form and Precedent Drafting/Management

    • Prepare and update template documents and precedents for M&A transactions.
    • Organize and maintain the M&A group’s forms, precedents, and other legal resources for internal use.
  • Legal Updates

    • Monitor legal and regulatory changes related to M&A practices.
    • Prepare summaries and alerts to keep the team informed on new legal developments and incorporate them into internal resources.
  • Legal Education and Training

    • Collaborate with the firm’s legal education team to brainstorm content for associate training sessions related to M&A law.
    • Assist in the development and delivery of firmwide training initiatives.
  • Marketing and Business Development

    • Work with the M&A marketing team to promote the firm’s M&A practice, including creating content for blogs, pitches, and presentations.
    • Assist in developing materials for business development activities, such as pitch decks, articles, and books.
  • Attorney Support

    • Assist attorneys with day-to-day requests for templates, precedents, and other practice resources.
    • Provide support for individual attorney needs related to M&A transactions.
  • New Initiatives

    • Participate in new resource, knowledge management, and practice innovation projects as they arise.
  • Other Duties

    • Perform other related duties as assigned or required.

Requirements

  • At least 7 years of experience in a U.S. M&A corporate/transactional practice.
  • Experience in public and private M&A, corporate governance, board fiduciary duties, and market trends.
  • Strong drafting and organizational skills, with attention to detail in document preparation and resource management.
  • Ability to manage multiple projects simultaneously while collaborating with attorneys and other stakeholders.
  • Flexibility to work on evolving initiatives and support new projects.
  • A team-oriented approach to collaborating with other resource attorneys and practice group members.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Active membership in the relevant state bar.

Skills

  • Excellent organizational skills, capable of handling a high volume of projects and tasks.
  • Strong attention to detail, especially when drafting documents and testing document generators.
  • Collaborative team player, working seamlessly with attorneys and internal teams.
  • Ability to adapt and contribute to the firm’s evolving resource and knowledge management efforts.
  • Proficiency in M&A transaction law, including both public and private deals.
