Job Overview:
A prominent law firm in Boston, MA is seeking a mid-level associate attorney to join its Private Equity group with a strong emphasis on debt finance transactions. This position offers a unique opportunity to support high-profile sponsor-side and lender-side transactions involving leveraged buyouts, growth financings, and acquisition-related lending. The role is ideal for a candidate with a solid transactional background looking to expand their experience in private credit and sponsor finance.

Duties:

  • Represent private equity sponsors, banks, and private credit institutions in complex finance transactions

  • Structure and negotiate leveraged financing deals, including acquisition financings and growth capital arrangements

  • Draft and revise key transaction documentation, such as commitment letters, credit agreements, intercreditor agreements, and security instruments

  • Coordinate with internal teams and opposing counsel to ensure timely closings

  • Provide ongoing counsel to clients on debt compliance, structuring considerations, and risk management

  • Conduct due diligence and risk assessment on transactional matters

Requirements:

  • Experience practicing in debt finance, with a focus on sponsor or lender representation

  • Proficiency in drafting and negotiating credit and collateral documents

  • Familiarity with leveraged lending structures and private credit markets

  • Strong business judgment and attention to transactional detail

  • Ability to manage multiple workstreams under tight deadlines

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Admission to the Massachusetts Bar or eligibility to promptly secure admission

Skills:

  • Excellent written and oral communication

  • Strong analytical and problem-solving capabilities

  • Team-oriented with a proactive and client-service mindset

  • Ability to handle negotiations independently with poise and professionalism
