Job Overview

A leading international law firm is seeking a highly skilled Mid-Level Associate to join its Capital Markets practice group. This is an opportunity to work with an elite team advising prominent clients on complex equity and debt transactions, SEC compliance, and general corporate matters. The role is ideal for candidates with a strong achievement drive, excellent legal acumen, and proven client management experience.

Location

Duties

  • Advise issuers and underwriters on equity and debt capital markets transactions

  • Counsel public and private companies on:

    • SEC reporting and disclosure requirements

    • National securities exchange compliance

    • Financings and general corporate governance matters

  • Support strategic corporate initiatives and regulatory compliance

  • Collaborate with cross-functional teams across various legal disciplines

  • Prepare and review offering documents, periodic filings, and related materials

Requirements

  • Relevant experience in a law firm Capital Markets or Corporate practice

  • Demonstrated experience advising on public and private securities offerings

  • Familiarity with U.S. securities laws and regulatory frameworks

  • Strong client communication and management skills

  • Ability to handle multiple high-level projects in a fast-paced environment

Education

  • Juris Doctor (JD) from an accredited law school

Certifications

  • Active membership in good standing with the California State Bar, or eligibility to waive in

Skills

  • Deep understanding of securities law and public company disclosure obligations

  • Strong analytical, writing, and negotiation skills

  • Detail-oriented with excellent organizational and time-management abilities

  • Ability to work independently and within a team structure

  • Proficiency in drafting and managing complex transactional documents
