Corporate Law Attorney

A law firm in Grand Rapids is seeking a Corporate Law Attorney with 3-6 years of experience. The successful candidate will play a crucial role in representing clients in general corporate matters, including drafting and negotiating purchase agreements, handling securities law compliance matters, negotiating investment transactions, and drafting core company governance documents. Strong communication skills, responsiveness, and a commitment to continuous learning in the legal field are essential for success in this role.

Job Details:

• Assist firm members in representing clients in general corporate matters.
• Draft and negotiate purchase agreements.
• Handle and advise clients regarding securities law compliance matters.
• Negotiate investment transactions on both the company- and investor sides.
• Draft core company governance documents related to client operations and material transactions.
• Communicate in a highly responsive manner and deliver high-quality work products.
• Effectively communicate at all levels of the Firm and with firm clients.
• Develop and grow strong client relationships at all levels of the client organization.
• Commit to enhancing knowledge of cutting-edge developments in the attorney's practice.
• Experience as a transactional attorney in a broad corporate practice of a large or mid-sized law firm, including running M&A deal processes.

Requirements:

• 3-6 years of experience in a broad corporate practice.
• J.D. degree from an ABA-accredited institution.
• Licensed Michigan attorney in good standing.

Skills:

• Strong negotiation skills for purchase agreements and investment transactions.
• Knowledge of securities law compliance matters.
• Experience in entity and fund formations.
• Venture capital and private equity financing transaction experience.
