Job Overview

A prominent law firm is seeking an experienced Fund Formation Attorney at the Principal level to support its growing business clientele across diverse industry sectors. This role focuses on fund structuring, regulatory compliance, capital raising, and investor negotiations, offering a robust opportunity to lead significant client engagements and collaborate with top-tier attorneys nationwide.

Location

  • Washington, D.C.

Duties

  • Lead and manage the formation of private investment funds, including venture funds, venture studios, incubators, accelerators, private equity funds, and crypto venture funds

  • Draft and negotiate fund documentation such as limited partnership agreements, subscription agreements, and private placement memoranda

  • Advise clients on fund structuring and regulatory compliance

  • Provide ongoing counseling to fund managers and investors

  • Advise clients on corporate governance matters, including fiduciary duties and conflicts of interest

  • Assist clients with regulatory filings and compliance matters under securities laws

  • Ensure adherence to SEC regulations, including the Investment Company Act and Investment Advisers Act

  • Handle securities filings and reporting obligations

  • Draft and negotiate transactional documents for fund-related investments

  • Coordinate with cross-practice teams for multi-disciplinary client transactions

  • Support mergers, acquisitions, joint ventures, and corporate transactions involving fund clients

  • Engage in client development, marketing initiatives, and maintain client relationships

  • Stay updated on industry trends and provide proactive legal guidance

Requirements

  • Minimum of 7 years of experience in fund formation focused on private equity, real estate, venture capital, or other illiquid asset classes

  • Meaningful experience advising clients on fund formation, structuring, capital raising, compliance, and related matters

  • Proven ability to manage complex projects independently

  • Demonstrated commitment to superior client service

Education

  • Juris Doctor (J.D.) degree from an ABA-accredited law school

Certifications

  • Admission and active license to practice law in at least one U.S. jurisdiction

Skills

  • Strong academic credentials

  • Excellent legal research, analytical, and writing skills

  • Outstanding communication and client interaction abilities

  • Highly organized with meticulous attention to detail

  • Ability to manage multiple complex matters simultaneously
