Job Overview

A nationally recognized law firm is seeking a Corporate Trust Associate Attorney with 2–4 years of transactional experience to join its Finance & Restructuring practice group. This role involves representing financial institutions and corporate trust clients in a variety of complex financial transactions, including structured finance, municipal and corporate debt issuances, and document custody arrangements. The ideal candidate will be a skilled contract negotiator with a strong foundation in transactional law, looking to work in a collaborative, client-focused environment.

Duties

  • Represent financial institutions and corporate trust clients in a range of corporate trust transactions

  • Draft, negotiate, and review transactional documents such as:

    • Trust indentures

    • Loan agreements

    • Custodial and agency agreements

    • Account control agreements

    • Pooling and servicing agreements

    • Disbursement and master services agreements

    • NDAs and other related contracts

  • Advise clients on matters involving structured finance (e.g., RMBS, CMBS, ABS), municipal and corporate debt, and finance facilities

  • Manage multiple complex transactions simultaneously

  • Work closely with colleagues in a team-based, collaborative practice environment

Requirements

  • 2–4 years of transactional legal experience in finance or related fields

  • Demonstrated ability to handle sophisticated deal documents and client matters

  • Strong drafting, review, and negotiation skills

  • Ability to balance multiple assignments and meet deadlines in a fast-paced setting

  • Clear and professional communication style, both written and verbal

Education

  • Juris Doctor (J.D.) from an accredited U.S. law school

  • Strong academic credentials required

Certifications

  • Admission to practice law in the jurisdiction of the chosen office, or eligibility for prompt admission
