A law firm in McLean is seeking a Corporate Transactional Associate Attorney to join their team. The candidate will primarily work on M&A, business transactions, government contracting, employment, software licensing, capital raises, and IP transactional matters. The ideal candidate will possess excellent analytical, writing, and oral communication skills and have 2-6 years of experience in a transactional practice or similar role.

 

Duties:

  • Handle a variety of transactional matters including M&A, business transactions, government contracting, employment, software licensing, capital raises, and IP transactions.
  • Provide legal advice and support to clients on corporate matters.
  • Draft and negotiate agreements, contracts, and other legal documents.
  • Conduct legal research and analysis on complex issues.
  • Assist in due diligence investigations and preparation of transactional documents.
  • Collaborate with clients, partners, and senior associates to ensure successful transaction outcomes.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Current member of the Virginia Bar in good standing (or in the process).
  • 2-6 years of experience working in a transactional practice or similar role.

 

Skills:

  • Excellent analytical, writing, and oral communication skills.
  • Hands-on experience in preparing and closing stock purchase agreements and asset purchase agreements.
  • Strong understanding of corporate law and transactional matters.
  • Ability to work independently and collaboratively in a team environment.
  • Proficiency in legal research, drafting, and negotiation.
  • Attention to detail and organizational skills.
