Job Overview:
A leading law firm is seeking a full-time Associate Attorney to join its Corporate Practice Group in Salt Lake City. The ideal candidate will have experience in a range of corporate legal matters, including mergers and acquisitions, securities, corporate finance, and governance. This position offers a dynamic and collaborative work environment with opportunities to work on sophisticated business transactions and regulatory matters. Recruitment is being conducted on behalf of the firm.

Location:

  • Salt Lake City, Utah

Duties:

  • Advise clients on general corporate matters, including business formation, governance, and compliance

  • Draft and negotiate stock and asset purchase agreements

  • Prepare private placement memoranda and securities filings, including SEC registrations

  • Support mergers and acquisitions transactions from due diligence through closing

  • Counsel clients on corporate finance matters and securities law compliance

  • Work collaboratively with other attorneys across practice areas

Requirements:

  • Minimum of 1 year of experience in corporate governance, M&A, securities, or general business law

  • Prior experience in the corporate, business, or securities group of a law firm (preferably large firm)

  • Ability to manage assignments independently and work efficiently under deadlines

  • Strong work ethic, professionalism, and attention to detail

Education:

  • Juris Doctor (JD) from an ABA-accredited law school

  • Excellent academic credentials required

Certifications:

  • Admission to the Utah State Bar or eligibility to sit for the Utah Bar

  • Admission to another U.S. state bar required if not currently admitted in Utah

Skills:

  • Strong drafting, negotiation, and analytical skills

  • Proficiency in preparing transactional and regulatory documentation

  • Excellent written and verbal communication abilities

  • Ability to handle multiple assignments and client matters simultaneously

  • Professional demeanor with a client-centered approach
