Job Location: New York City, NY (Hybrid Work)

Job Overview: A prestigious law firm is seeking a Junior to Mid-Level Securities Attorney to join its dynamic team in New York City. This role is ideal for candidates with experience in securities law, particularly in U.S. initial public offering (IPO) transactions, SEC compliance, and corporate finance matters. The successful candidate will collaborate with senior attorneys to support clients through various corporate transactions and regulatory processes.

Duties:

  • Conduct in-depth legal research and analysis concerning U.S. IPO transactions, including securities laws, regulations, and disclosure requirements.
  • Collaborate with legal teams and clients in the drafting and review of documents such as prospectuses, registration statements, and offering memoranda.
  • Assist in due diligence investigations, including reviewing contracts, licenses, and other pertinent documentation.
  • Provide financial analysis for clients by reviewing financial statements and assessing the financial viability of companies preparing to go public.
  • Offer business strategic guidance to clients, advising on optimal timing for IPOs and conducting market research to support business development efforts.
  • Assist the IPO team with preparing and coordinating filings with the SEC and other relevant regulatory bodies.
  • Attend client meetings and effectively communicate information regarding IPO matters.
  • Stay up-to-date with industry trends, regulations, and best practices in securities law and capital markets.

Requirements:

  • Experience in securities law, with a focus on federal securities laws (33/34 Act).
  • Fluency in Chinese is preferred but not required.
  • Strong proficiency in legal writing and analysis.
  • Ability to work collaboratively in a team-oriented environment.
  • Experience with IPOs, SEC filings, and corporate finance transactions is highly desirable.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active member in good standing with the New York State Bar (or eligibility to waive in).

Skills:

  • Strong legal research and analytical skills.
  • Proficient in drafting and reviewing complex legal documents.
  • Solid understanding of SEC regulations, securities laws, and capital markets.
  • Excellent communication and interpersonal skills.
  • Ability to manage multiple tasks and work under tight deadlines.
