Job Overview:

A law firm in New York City seeks an experienced Private Equity Attorney with 4-5 years of solid background in private equity and mergers and acquisitions. The ideal candidate should possess exceptional drafting, writing, and analytical skills, keen attention to detail, and strong organizational abilities. This role requires expertise in negotiating and drafting various transaction documents, such as purchase and merger agreements, LLC and LP agreements, and other relevant contracts. The successful candidate will demonstrate excellent business judgment, strategic thinking, and the ability to work collaboratively in a dynamic team-oriented environment.

Duties:

  • Draft and negotiate purchase and merger agreements, LLC and LP agreements, and ancillary transaction documents.
  • Provide day-to-day support for private equity fund and portfolio company clients.
  • Demonstrate strong business and strategic judgment in client interactions.
  • Work collaboratively with client business teams and play a lead role in legal matters.

Requirements:

  • Minimum of 4-5 years of private equity and mergers and acquisitions experience.
  • Excellent academic credentials and prior experience with private equity sponsors in a large firm setting.
  • Strong drafting, writing, and analytical skills.
  • Attention to detail and organizational skills.
  • Verbal, interpersonal, and project management skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the New York State Bar.

Skills:

  • Proficient in negotiating and drafting legal documents.
  • Strong business and strategic judgment.
  • Ability to work in a team-oriented and dynamic environment.
  • Excellent communication and interpersonal skills.
