Job Overview:
A top-tier law firm is seeking a Corporate Associate with 4–6 years of experience advising public companies and handling capital markets transactions. This position focuses on securities compliance, governance counseling, and transactional representation, including IPOs and secondary offerings. The role is well-suited for attorneys who have worked with public companies—particularly in the technology and life sciences sectors—and are ready to contribute to a dynamic, high-level practice.

Location:

  • Seattle, WA

Duties:

  • Advise public companies on:

    • SEC reporting and compliance obligations

    • Corporate governance best practices

    • Disclosure matters under federal securities laws

    • Nasdaq and NYSE listing standards

  • Represent issuers and underwriters in:

    • Initial Public Offerings (IPOs)

    • Follow-on equity and debt offerings

    • PIPE (Private Investment in Public Entities) transactions

    • At-the-market (ATM) offerings

  • Counsel clients through day-to-day corporate legal issues

  • Work with technology and life sciences clients on complex regulatory and transactional matters

Requirements:

  • 4–6 years of relevant legal experience in capital markets and public company advisory

  • Significant exposure to SEC filings, corporate governance, and securities law matters

  • Experience in handling capital markets transactions from inception to closing

  • Familiarity with clients in technology and/or life sciences sectors is preferred

Education:

  • Juris Doctor (J.D.) degree from an accredited U.S. law school

Certifications:

  • Active bar membership in at least one U.S. jurisdiction

  • Eligibility for bar admission in the jurisdiction of the office applied for

  • In-depth understanding of securities regulations and exchange requirements

  • Strong legal drafting and transactional skills

  • Excellent judgment and attention to detail

  • Ability to manage multiple matters under tight deadlines

  • Effective communicator with strong client service orientation

  • Team-oriented with the ability to work cross-functionally across practice areas
