Job Overview:
A Boston-based law firm is seeking a detail-oriented and experienced attorney to join its sophisticated Data and Technology Transactions practice. This role is ideal for professionals who thrive in dynamic legal environments involving IP, licensing, and strategic technology arrangements. The selected candidate will engage in a wide range of legal work tied to software, mobile platforms, and digital products, supporting clients in structuring and negotiating high-stakes commercial and IP-driven deals.

Duties:

• Draft and negotiate a variety of complex agreements, including:

  • Technology licensing deals

  • Development and consulting arrangements

  • SaaS, hosting, and cloud service contracts

  • Distribution, reseller, and OEM agreements

  • Mobile application and website terms of use

• Provide legal guidance on matters related to intellectual property and technology commercialization

• Support corporate transactions involving IP and technology assets, such as:

  • Mergers and acquisitions

  • Venture capital investments

  • Strategic partnerships

• Conduct risk assessments and develop mitigation strategies on IP and data concerns

• Collaborate with cross-functional teams, including privacy, security, and corporate attorneys

Requirements:

• Minimum of 3 years of relevant legal experience

• Background in IP and tech-related transactional matters

• Proven track record negotiating commercial and technology-focused contracts

• Familiarity with emerging legal issues in cloud computing, software platforms, and data use

• Ability to manage multiple projects in a fast-paced client-driven environment

Education:

• Juris Doctor (J.D.) from an accredited law school

Certifications:

• Admission to at least one U.S. State Bar; eligibility for admission in Massachusetts preferred

Disciplines include capital markets, emerging companies, mergers-acquisitions, private equity, public offerings, technology transactions, transactional tax and venture capital.
