Job Overview:
A highly regarded law firm is seeking a skilled Corporate Associate with 4–6 years of experience in public companies and capital markets. This position offers the opportunity to advise a diverse portfolio of public company clients and engage in complex transactions including IPOs and other securities offerings. The ideal candidate will bring strong knowledge of SEC reporting and governance, and prior exposure to clients in the technology or life sciences sectors is considered a significant advantage.

Location:

  • Austin, TX

Duties:

  • Advise public companies on:

    • SEC reporting and compliance

    • Disclosure obligations

    • Corporate governance

    • Nasdaq/NYSE listing compliance

  • Represent issuers and/or investment banks in capital markets transactions such as:

    • Initial Public Offerings (IPOs)

    • Equity and debt offerings

    • PIPEs (Private Investments in Public Entities)

    • At-the-market offerings

  • Collaborate with companies in the technology and life sciences industries

  • Provide strategic counsel on day-to-day legal challenges faced by public companies

Requirements:

  • 4–6 years of experience in capital markets and public company advisory

  • Substantial exposure to securities law, governance, and exchange rules

  • Transactional experience representing either issuers or underwriters

  • Ability to handle fast-paced, client-facing work with precision and confidence

  • Experience with innovative, high-growth companies is a plus

Education:

  • Juris Doctor (J.D.) degree from an accredited law school

Certifications:

  • Active bar membership in good standing in at least one U.S. jurisdiction

  • Eligibility for bar admission in the state of the office location

Skills:

  • Advanced knowledge of federal securities laws and SEC regulations

  • Strong legal drafting and analytical skills

  • Effective communication and interpersonal abilities

  • High level of professionalism and client service focus

  • Ability to manage multiple ongoing matters and priorities
