Job Overview:
A respected law firm based in Redwood City, CA, is actively seeking a mid-level to senior associate attorney to join its executive compensation and ERISA-focused legal team. The role is ideal for a legal professional with 3–5 years of experience handling compensation and benefits matters in the context of mergers, acquisitions, and general corporate governance. The position offers opportunities to work on complex matters involving equity-based incentive plans, tax compliance, and securities regulations.

Duties:

  • Provide legal guidance to public and private companies on equity compensation strategies and incentive-based plans

  • Analyze and advise on the intersection of tax, securities, and corporate law in compensation matters

  • Support transactional teams with diligence and negotiation related to employee benefits and executive compensation

  • Contribute to the structuring and compliance of employee stock plans and related regulatory disclosures

  • Assist with reviewing and drafting compensation-related agreements, including offer letters, severance plans, and change-in-control arrangements

  • Engage with clients as part of a collaborative legal team and handle aspects of matters independently

Requirements:

  • 3-5 years of legal experience in executive compensation, benefits law, and related transactional support

  • Familiarity with both public and private company operations and compliance obligations

  • Demonstrated ability to manage components of deals and collaborate in cross-functional legal teams

  • Knowledge of tax and securities law implications in compensation and benefits planning

  • Prior exposure to ERISA and employee benefit plans is beneficial

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active Bar membership in good standing in at least one U.S. jurisdiction

  • Admission to practice in California is preferred

Skills:

  • Exceptional legal research, writing, and analytical skills

  • Strong interpersonal communication and client service orientation

  • Capable of managing time-sensitive projects independently

  • Detail-oriented with an ability to understand complex financial and legal frameworks
