Mountain View office of a BCG Attorney Search Top Ranked Law Firm seeks an associate attorney with 1 year of experience focusing on equity capital markets. The candidate will join the firms Corporate and Securities Practice Group and represent and advise foreign and domestic clients concerning business transactions, commercial contracts, business agreements, other transactional matters, and their legal rights and/or obligations arising from them. Will represent and advise foreign and domestic clients concerning business transactions, commercial contracts, business agreements, other transactional matters, and their legal rights and/or obligations arising from them. Review and analyze securities law regulations and agency guidance. Draft federal 34 Act filings, including Annual, Quarterly, and Current Reports on Forms 10-K, 10-Q, and 8-K. Represent domestic and foreign shareholders in Section 16 compliance, including Form 3, 4, and 5 filings. Represent issuers in private securities offerings under Regulation D and nonprofit exemptions, including federal and blue sky filings. As part of the India Practice Group, specialize in foreign law matters and support existing and potential Indian corporate clients on the array of regulations governing foreign entities doing business in the United States; state and federal tax implications for non-U.S. corporations operating in California; and, both internal and external legal issues affecting strategic entry options for foreign multinationals. Assist Indian clients and potential clients in making key business decisions and in developing effective strategies for product placement in the United States by researching and documenting conditions in a variety of industrial sectors. Experience must include Experience in securities law and capital markets; Experience in capital raising: initial public offerings and follow-on offerings; and private placements; Foreign Direct Investment Rules; and Rules and regulations promulgated by the Securities and Exchange Board. Must have a valid, unrestricted State of California license to practice law.
The candidate should have a Juris Doctor or Masters of Law; will accept an equivalent foreign degree.
