A law firm is seeking an Insurance M&A Associate Attorney for their Washington, DC office. The Insurance M&A Associate Attorney will join a supportive practice that provides advice to a broad range of Fortune 500 clients and industry-leading companies on a full spectrum of transactional and regulatory matters. The ideal candidate must have experience advising clients on mergers and acquisitions, particularly within the insurance industry. This role will involve extensive interaction with a variety of clients, including financial services companies, especially life and property and casualty insurers and reinsurers. The candidate should possess skills and experience related to handling a broad range of transactional matters. Knowledge of the insurance industry is highly desirable. Additionally, working knowledge of pension risk transfer (PRT) transactions, asset-intensive reinsurance transactions, matters involving complex or unique collateral arrangements or structures, assisting insurers in managing their long-term credit exposure, and advising on asset management issues involving various structured classes of assets, fee structures, and hedges would be especially valued. Excellent writing and analytical skills, along with a strong academic record and impressive writing and communication abilities, are essential.

 

Duties:

  • Advise clients on mergers and acquisitions within the insurance industry.
  • Provide legal counsel on a full spectrum of transactional and regulatory matters.
  • Interact extensively with a variety of clients, including financial services companies, insurers, and reinsurers.
  • Handle a broad range of transactional matters within the insurance sector.
  • Utilize knowledge of pension risk transfer (PRT) transactions, asset-intensive reinsurance transactions, and complex collateral arrangements or structures.
  • Assist insurers in managing their long-term credit exposure.
  • Advise on asset management issues involving various structured classes of assets, fee structures, and hedges.
  • Conduct legal research and analysis related to insurance laws and regulations.
  • Collaborate with partners and senior associates on complex insurance transactions.

 

Requirements:

  • 2-4 years of experience in advising clients on mergers and acquisitions.
  • Experience with insurance industry transactions and products.
  • Knowledge of pension risk transfer (PRT) transactions, asset-intensive reinsurance transactions, and complex collateral arrangements or structures.
  • Strong understanding of insurance industry regulations and practices.
  • Excellent writing and analytical skills.
  • Impressive academic record from an accredited law school.

 

Education:

Juris Doctor (J.D.) from an accredited law school.

 

Certifications:

Bar admission in the District of Columbia.

 

Skills:

  • Proficiency in handling a broad range of transactional matters within the insurance industry.
  • Ability to provide legal counsel on complex insurance transactions.
  • Strong communication and interpersonal skills for client interaction.
  • Detail-oriented with exceptional organizational abilities.
