A law firm in Boston, MA, is seeking a highly qualified Mid- to Senior-level Corporate and Business Transactions Associate Attorney with a minimum of 4+ years of law firm experience in life science transactions. The primary responsibilities of this role include drafting and negotiating a variety of agreements related to life science transactions, such as collaboration agreements, license agreements, supply and other operational agreements (e.g., CDA/NDAs, MTAs, SRAs, CTAs, MSAs, etc.), and product purchase and sale agreements. Additionally, the firm is open to considering candidates with 2+ years of experience as in-house counsel for a life sciences industry company who have a strong desire to specialize in life sciences transactions.

Duties:

  • Draft, review, and negotiate a wide range of agreements related to life science transactions, including collaboration agreements, license agreements, supply agreements, and product purchase and sale agreements.
  • Provide legal counsel on transactional matters within the life sciences industry, ensuring compliance with industry regulations and legal standards.
  • Conduct legal research and analysis, and prepare transactional documents.
  • Collaborate closely with clients and senior attorneys to develop effective legal strategies.
  • Stay updated on developments in life science and business transaction law.

Requirements:

  • A minimum of 4+ years of law firm experience with a focus on life science transactions.
  • Alternatively, candidates with 2+ years of experience as in-house counsel for a life sciences industry company will be considered.
  • Strong desire to specialize in life sciences transactions.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to the bar in the state of practice.

Skills:

  • Proficiency in drafting and negotiating life science and business transaction agreements.
  • Legal research and analysis.
  • Effective communication and collaboration with clients and colleagues.
  • In-depth knowledge of life science and business transaction laws and regulations.
