Job Overview:

The Corporate Attorney will play a key role in assisting members of the firm in representing clients in general corporate matters. This includes drafting and negotiating purchase agreements, advising on securities law compliance, negotiating investment transactions, and drafting core company governance documents. The successful candidate will demonstrate excellent communication skills, a proactive approach to client relationships, and a dedication to staying updated on legal developments in the corporate law field.

 

Duties:

  • Draft and negotiate purchase agreements and related documents
  • Advise clients on securities law compliance matters
  • Negotiate investment transactions on behalf of companies and investors
  • Draft core company governance documents related to client operations and transactions
  • Communicate promptly and effectively, delivering high-quality work product
  • Maintain effective communication at all levels of the firm and with clients
  • Cultivate and nurture strong client relationships at all levels of client organizations
  • Stay updated on cutting-edge developments in relevant areas of legal practice

 

Requirements:

  • 3-6 years of experience as a transactional attorney in a broad corporate practice of a large or mid-sized law firm
  • J.D. degree from an ABA-accredited institution
  • Licensed attorney in good standing in Illinois, Michigan, California, or Texas; remote work candidates are encouraged to apply
  • Ability to manage multiple tasks and meet deadlines under significant time constraints
  • Willingness to contribute to the training and development of junior associates and support staff

 

Education:

Juris doctorate from an ABA-accredited institution

 

Certifications:

Licensed attorney in Illinois, Michigan, California, or Texas

 

Skills:

  • Broad transactional experience, including mergers, acquisitions, securities law matters, entity formations, and financing transactions
  • Strong negotiation and drafting skills
  • Excellent communication skills, both written and verbal
  • Client-centric approach to legal practice
  • Ability to collaborate effectively within a team environment
