Job Overview:
A nationally recognized law firm is seeking a Corporate Securities Attorney to join its Corporate Practice Group. This opportunity is ideal for a mid- to senior-level attorney with a strong background in securities law. The role will focus on SEC compliance, regulatory filings, and corporate governance matters, serving a wide range of public and private companies. Flexible work arrangements are available, including placement in any of the firm’s U.S. office locations.

Location:

  • San Francisco, CA

Duties:

  • Draft and submit filings with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group

  • Advise clients on compliance with securities regulations and public company disclosure obligations

  • Assist with preparation of periodic reports, registration statements, and proxy statements

  • Guide corporate clients through capital markets transactions and private offerings

  • Support board advisory and corporate governance efforts

  • Monitor regulatory developments and ensure ongoing client compliance

  • Collaborate with corporate, tax, and M&A teams on integrated transactions

Requirements:

  • 5–12 years of experience in corporate securities law

  • Extensive knowledge of SEC regulations and public company reporting obligations

  • Demonstrated ability to handle complex regulatory filings and compliance matters

  • Ability to manage multiple client needs and meet strict deadlines

  • Licensed in home jurisdiction or eligible for admission without examination

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active law license in good standing in a U.S. jurisdiction (Required)

Skills:

  • Excellent legal research, drafting, and analytical skills

  • Strong interpersonal and professional communication capabilities

  • Ability to translate complex legal concepts into practical business guidance

  • Detail-oriented with strong project management and organizational skills

  • Comfortable working independently and within multidisciplinary legal teams
