Job Overview:
A leading national law firm is seeking a Corporate Securities Attorney to join its Corporate Practice Group. This position offers flexibility to work from any of the firm’s U.S. office locations and involves advising clients on securities regulation, SEC filings, and corporate governance matters. The ideal candidate will have a strong background in capital markets and public company compliance, and possess excellent legal drafting, communication, and analytical skills.

Location:

  • Beaumont, TX

Duties:

  • Prepare and file documents with the SEC, FINRA, NYSE, Nasdaq, and OTC Markets Group

  • Advise public and private companies on securities compliance and corporate disclosure obligations

  • Draft and review 10-Ks, 10-Qs, 8-Ks, proxy statements, S-1s, and other required filings

  • Counsel clients on capital market transactions, including public offerings and private placements

  • Provide legal guidance on corporate governance and board compliance matters

  • Monitor legal and regulatory developments affecting public companies

  • Collaborate with transactional teams on mergers, acquisitions, and other corporate matters

Requirements:

  • 5–12 years of experience in securities and corporate law

  • Proven track record of preparing and managing SEC and stock exchange filings

  • Strong understanding of securities regulation and public company reporting

  • Ability to manage client relationships and work effectively under tight deadlines

  • Must be licensed in home jurisdiction or eligible for admission without examination

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active law license in any U.S. jurisdiction (Required)

Skills:

  • Exceptional legal drafting and research capabilities

  • Strong verbal and written communication skills

  • Detail-oriented with the ability to manage multiple projects simultaneously
