Job Overview:
A Dallas-based law firm seeks a mid-level Associate Attorney to join its Finance and restructuring team. The role focuses on representing financial institutions and corporate trust service providers in complex transactional matters. The ideal candidate will bring proven experience handling structured finance deals and document negotiation and thrive in a collaborative, high-volume legal environment.

Duties:

  • Advise financial institutions and corporate trust departments on diverse transactional matters

  • Draft, negotiate, and review legal documents related to:

    • Trust indentures

    • Custodial and agency agreements

    • Account control agreements

    • Loan and servicing agreements

    • Pooling and disbursement arrangements

    • NDAs and related documents

  • Manage multiple concurrent transactions while maintaining a high standard of legal service

  • Coordinate with team members and clients throughout the deal lifecycle

  • Conduct due diligence and risk analysis associated with finance-related transactions

Requirements:

  • 2-4 years of experience in transactional law

  • Strong command of structured finance transactions (including RMBS, CMBS, ABS) and corporate or municipal debt offerings

  • Ability to manage complex negotiations independently and collaboratively

  • Strong organizational and multitasking capabilities

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

  • Active and in good standing with at least one U.S. state bar

Skills:

  • Exceptional drafting, negotiation, and analytical skills

  • Strong verbal and written communication abilities

  • Detail-oriented with the capacity to handle high-stakes, time-sensitive work

  • Team player with a client-focused mindset and strong interpersonal acumen
