A law firm in Auburn, California, is seeking an experienced Business and Real Estate Transactional Attorney to join their team. The successful candidate will be responsible for providing legal expertise in business transactions, real estate matters, and related areas.

 

Job Details:

  • Meet with prospective or current clients to gather information and design business plans or assess recommendations.
  • Draft and review various legal documents, including operating agreements, bylaws, shareholder agreements, service level agreements, private placement memorandums, indemnity agreements, and other client contracts.
  • Prepare leases, purchase and sale agreements, letters of intent, deeds, etc., for commercial real estate transactions.
  • Manage and review mergers and acquisitions transactions, including due diligence and closing documents.
  • Review, manage, and prepare commercial lease agreements.
  • Organize and maintain case and client files according to company guidelines.
  • Follow engagement procedures, including completion of Client Intake Form and adherence to task management systems.
  • Conduct client meetings, address concerns, and respond to client communications promptly.
  • Keep detailed notes of all meetings and phone calls, ensuring proper documentation within client files.
  • Attend regular Attorney Meetings, Advanced Planning Meetings, Business Planning Department Meetings, and all-staff meetings.
  • Handle multiple tasks simultaneously with professionalism and client orientation.
  • Problem-solve, resolve and close open issues, assisting staff with arising problems.
  • Participate in ongoing courses and continuing education programs in the area of Business Law.

 

Requirements:

  • 2+ years of job experience as an attorney with business transactional experience.
  • Knowledge of estate planning is preferred.
  • Demonstrate excellent organizational skills, attention to detail, and the ability to prioritize and work independently.
  • Exhibit strong verbal and written communication skills to effectively interact with various clients.
  • Meet strict deadlines under time pressure.
  • Possess a valid attorney license from the California State Bar.

 

Education and Certifications:

Licensed attorney by California State Bar.
