A law firm is seeking a Healthcare Transactions Lawyer for its Miami, FL, location.

Job Overview:

The Healthcare Transactions Lawyer will be responsible for overseeing and executing strategic initiatives related to mergers, acquisitions, and other transactions within the healthcare and technology sectors. They will lead legal, and due diligence, negotiate transactional documents, ensure compliance with regulations, and provide strategic counsel to achieve business objectives.

Duties:

  • Develop and implement strategic initiatives related to mergers, acquisitions, and other transactions within the healthcare and technology sectors.
  • Conduct comprehensive legal due diligence on potential targets, ensuring an understanding of legal, regulatory, and compliance aspects.
  • Lead negotiations, draft and review transactional documents, and provide legal counsel on a broad range of healthcare and technology-related agreements.
  • Stay abreast of evolving regulations in healthcare and technology, ensuring compliance with applicable laws and industry standards.
  • Assess and mitigate legal risks associated with transactions, providing strategic advice to the executive team.
  • Collaborate with cross-functional teams, including finance, operations, and executive leadership, to facilitate successful transactions and achieve business objectives.
  • Contribute to post-merger integration planning and execution, ensuring a seamless transition and realization of synergies.

Requirements:

  • Juris Doctor (J.D.) degree and active Bar membership.
  • 5-10 years of legal experience with a focus on healthcare transactions.
  • Also have experience in corporate entity setup and handling of equity and incentive plans. 
  • Proven track record of successfully leading and closing complex M&A transactions.
  • In-depth knowledge of healthcare-related laws and regulations.
  • Excellent negotiation, drafting, and communication skills.
  • Strong analytical and problem-solving abilities.
