A law firm in Boston is seeking a Public Finance Associate Attorney with 2-5 years of relevant experience in public finance, real estate finance, and/or lending/corporate finance. The ideal candidate will assist in various public finance matters involving state entities and nonprofits, handling tax-exempt and taxable municipal bonds, commercial loans, and securities disclosure offering documents.

 

Duties:

  • Handle public finance matters for state entities and nonprofits, including tax-exempt and taxable municipal bonds.
  • Draft transaction documents such as trust agreements, loan agreements, and closing certificates.
  • Assist with the review of due diligence materials.
  • Draft securities disclosure offering documents, including limited offering memorandums and official statements.
  • Provide legal counsel on public infrastructure and capital improvement projects.
  • Serve as bond counsel, underwriter’s counsel, disclosure counsel, and purchaser’s/lender’s counsel.
  • Conduct legal research and analysis on relevant laws and regulations.
  • Communicate effectively with clients, colleagues, and external stakeholders.

 

Requirements:

  • 2-5 years of relevant experience in public finance, real estate finance, and/or lending/corporate finance preferred.
  • JD from an accredited law school.
  • Admission to the Massachusetts Bar.
  • Excellent academic credentials.
  • Strong legal research, writing, and interpersonal communication skills.

 

Education:

Juris Doctor (J.D.) degree from an accredited law school.

 

Certifications:

Admission to the Massachusetts Bar.

 

Skills:

  • Experience in public finance, real estate finance, and/or lending/corporate finance.
  • Strong drafting skills for transaction documents and securities disclosure offering documents.
  • Ability to review due diligence materials effectively.
  • Legal research and analytical abilities.
  • Excellent communication and interpersonal skills.
  • Detail-oriented with strong organizational skills.
