A law firm seeks an accomplished Corporate M&A and Private Equity Associate to join its team in Houston, TX. This position is tailored for a talented attorney with experience managing complex mergers, acquisitions, and private equity deals. The role offers the chance to collaborate with an innovative team on sophisticated transactions, providing strategic legal guidance to clients in a dynamic and fast-paced environment.

Duties:

  • Negotiate, draft, and review transaction agreements, including purchase agreements, shareholder agreements, and ancillary documents.
  • Conduct thorough due diligence to identify legal risks and ensure compliance with applicable regulations.
  • Provide strategic advice to clients on mergers, acquisitions, private equity investments, and related matters.
  • Collaborate with interdisciplinary teams to develop and execute effective transactional strategies.
  • Advise on corporate governance and compliance with federal and state laws.
  • Stay updated on market trends, legal developments, and industry best practices to inform client strategies.

Requirements:

  • 3 to 7 years of experience handling mergers, acquisitions, and private equity transactions.
  • Exceptional analytical, writing, and research capabilities.
  • Proven ability to manage multiple priorities and work in a deadline-driven environment.
  • Strong interpersonal skills with a focus on client service and teamwork.

Education:

  • Juris Doctor degree from an ABA-accredited law school.

Certifications:

  • Active member of the Texas Bar or eligibility to obtain admission promptly.

Skills:

  • Advanced knowledge of transactional law, corporate governance, and private equity markets.
  • Strong negotiation skills with the ability to resolve complex issues effectively.
