A law firm in Richmond is seeking an experienced Business and Corporate Transactions Counsel with a minimum of 6 years of experience. The successful candidate will be responsible for advising corporate clients on various matters including structuring, entity formation, key contracts, and business transactions. This role requires strong drafting and negotiation skills, as well as the ability to manage significant aspects of transactions from structuring to closing.

 

Duties:

  • Advise corporate clients on structuring, entity formation, key contracts, and business transactions.
  • Draft and negotiate transaction documents for mergers and acquisitions, asset purchases, financing, and corporate governance.
  • Lead significant aspects of transactions from structuring to closing and manage due diligence processes.
  • Handle corporate governance matters and understand financing and tax aspects of transactions.
  • Service various types of business entities and assist clients with raising debt and private equity capital.
  • Provide legal advice to C-suite executives, management, and owners on business matters.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Bar in the state of practice.
  • Minimum of 6 years of experience in a business transactions practice.
  • Strong drafting and negotiation skills.
  • Experience advising clients on corporate governance matters.
  • Understanding of financing and tax aspects of transactions.
  • Ability to work outside of typical business hours to meet deadlines.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Admission to the Bar in the state of practice.

 

Skills:

  • Drafting and negotiation.
  • Corporate governance.
  • Financial and tax analysis.
  • Client advisory.
  • Due diligence management.
