Job Overview

A nationally recognized law firm is seeking a Corporate Trust Associate to join its Finance & Restructuring practice group. This role involves representing financial institutions and corporate trust clients in a broad range of transactions, including structured finance, municipal and corporate debt, finance facilities, and document custody arrangements. The position offers the opportunity to work on sophisticated transactions in a collaborative and client-driven environment.

Location

  • Minneapolis, MN

Duties

  • Represent financial institutions and corporate trust businesses in a variety of transactional matters

  • Provide legal counsel on structured finance transactions, including RMBS, CMBS, and ABS

  • Handle municipal and corporate debt issuances, finance facilities, and document custody matters

  • Draft, review, and negotiate agreements such as:

    • Trust indentures

    • Loan agreements

    • Account control agreements

    • Custodial and agency agreements

    • Pooling and servicing agreements

    • Disbursement and master services agreements

    • Non-disclosure and related transactional documents

  • Manage multiple transactions concurrently while maintaining responsiveness to client needs

  • Collaborate closely with internal teams and clients to ensure timely deal execution

Requirements

  • 2–4 years of transactional legal experience, preferably in a finance or restructuring practice

  • Prior experience representing financial institutions or advising on trust-related agreements

  • Familiarity with structured finance and related regulatory or compliance frameworks

  • Proven ability to manage complex transactions with multiple stakeholders

  • Excellent analytical, drafting, and communication skills

Education

  • Juris Doctor (J.D.) from an accredited U.S. law school

  • Strong academic credentials preferred

Certifications

  • Admission to the bar in the relevant U.S. jurisdiction, or eligibility for prompt admission

Skills

  • Proficiency in contract drafting and negotiation

  • High level of professionalism and client service orientation

  • Strong organizational skills and ability to manage time effectively across matters

  • Team-oriented with the ability to work independently

  • Detail-oriented and capable of handling high-stakes transactional work
