Job Overview:

  • Handling general corporate work, M&A, debt and equity financings, fund formation, or other business transactions
  • Utilizing strong drafting and communication skills to produce client-ready documents and contribute to a team-based culture

 

Duties:

  • Conducting legal research and analysis to support corporate transactions
  • Drafting and negotiating transactional documents, including contracts, agreements, and corporate governance documents
  • Assisting with due diligence reviews and transaction closings
  • Providing legal advice and counsel to clients on corporate matters
  • Managing client relationships and communicating effectively with stakeholders
  • Working independently and collaboratively in a fast-paced environment
  • Ensuring accuracy and thoroughness in legal work
  • Contributing to the development of junior attorneys and support staff

 

Requirements:

  • Juris Doctor (J.D.) degree with high academic standing
  • Active Oregon State Bar or California State Bar license to begin work immediately
  • 2-6 years of experience in general corporate work, M&A, debt and equity financings, fund formation, or other business transactions
  • Excellent writing, analytical, and research skills
  • Strong time management and communication skills
  • Outstanding client service and development skills
  • Detail-oriented with strong organizational skills

 

Certifications:

Active Oregon State Bar or California State Bar license
