Responsibilities:

  • Draft and negotiate acquisition agreements, including asset purchase agreements, stock purchase agreements, and merger agreements.
  • Supervise and guide junior associates on deal transactions.
  • Coordinate with legal specialists and other professionals involved in the deal team, such as tax advisors and financial analysts.
  • Conducted due diligence investigations and reviewed legal documents related to mergers, acquisitions, and private equity transactions.
  • Assist in the structuring and execution of private equity and leveraged buyout transactions.
  • Collaborate with partners and clients to ensure compliance with regulatory requirements and legal standards.

Requirements:

  • Minimum of 4 years of relevant experience in mergers and acquisitions, private equity, or corporate law.
  • Admitted to practice law in the state of New York.
  • Proven track record of handling complex transactional matters independently and as part of a team.
  • Strong understanding of corporate finance principles and securities regulations.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to manage multiple tasks and deadlines in a fast-paced environment.
  • Attention to detail and commitment to delivering high-quality work.

Education and Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the New York State Bar.
