Job Overview: A law firm in Charlottesville, VA, is seeking a Fund Formation Associate Attorney to be involved in all aspects of the formation, structuring, capital raising, compliance, and ongoing management of alternative investment funds across various strategies.

Duties:

  • Participate in all aspects of fund formation, including structuring, capital raising, compliance, and ongoing management.
  • Work on related capital raising transactions, such as programmatic joint ventures and structuring equity investment processes for one-off investment transactions.
  • Draft and review limited partnership agreements and limited liability company agreements in the private investment fund context.
  • Review fund documents on behalf of institutional investors, identifying key issues and nuances.
  • Prepare offering documents, including Private Placement Memorandums (PPMs), ensuring compliance with Regulation D and other relevant securities laws.
  • Handle Advisers' Act and related exemption, registration, and compliance issues applicable to fund managers.
  • Draft and negotiate substantive transaction documents and commercial agreements.
  • Interact with and advise legal and business stakeholders from inception through closing.

Requirements:

  • 2-6 years of large law firm experience representing private fund sponsors and institutional investors.
  • Solid understanding of market fund terms and common issues negotiated in the fund offering process.
  • Strong academic record with excellent writing and oral communication skills.
  • Ability to work independently with clients and colleagues.
  • Strong interpersonal skills.

Education & Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Virginia State Bar or eligibility for admission by waiver.

Skills:

  • Proficiency in drafting legal documents, particularly limited partnership agreements and LLC agreements.
  • Familiarity with securities laws governing private placements, including Regulation D.
  • Knowledge of the Advisers' Act and related exemption, registration, and compliance issues.
  • Excellent negotiation skills.
  • Ability to analyze complex legal issues and provide practical solutions.
  • Strong attention to detail and organizational skills.
